Terms of Service

The terms that govern access to and use of the MedSpaOS website, applications, and related services.

1. Agreement and eligibility

These terms form an agreement between you and MedSpaOS when you access or use the service. If you use the service for a clinic or company, you represent that you are authorized to bind that organization. If a signed order form, subscription agreement, or business associate agreement conflicts with these terms, the signed agreement controls for that subject.

2. The service and account security

We provide the hosted practice-management features described in the applicable plan. You are responsible for accurate account information, assigning appropriate roles, protecting credentials, promptly removing access, and notifying us of suspected unauthorized use. You may not share individual credentials or bypass security, tenant, device, or rate limits.

3. Customer data and healthcare responsibilities

You retain your rights in data submitted to the service. You are responsible for the lawfulness, accuracy, permissions, notices, consents, retention, and professional use of that data. MedSpaOS is a technology provider, not a medical provider, billing advisor, or compliance officer. You remain responsible for clinical decisions, patient communications, applicable healthcare and privacy requirements, and configuring the service appropriately.

4. Acceptable use

You may not use the service to violate law or rights, expose another person's information without authorization, transmit malware, attempt unauthorized access, interfere with the service, misuse AI features, or create a safety risk. Additional rules appear in the Acceptable Use Policy.

5. Fees, suspension, and termination

Fees, billing cycles, taxes, trials, and cancellation terms are set out in the applicable order or plan. We may suspend access to address security, legal, or payment risk, and will use reasonable efforts to provide notice when practical. On termination, data export and deletion are handled under the applicable agreement and retention requirements.

6. Intellectual property and feedback

MedSpaOS and its licensors retain the service, software, design, documentation, and related intellectual property. Subject to these terms, we grant a limited, non-exclusive right to use the service during the subscription. You grant us permission to use feedback to improve the service without identifying you publicly.

7. Disclaimers and limitation of liability

The service is provided as available. We do not promise that it will be uninterrupted, error-free, or suitable for every clinical or regulatory requirement. To the extent allowed by law, MedSpaOS is not liable for indirect, special, consequential, or lost-profit damages, and its aggregate liability is limited to fees paid for the service during the applicable lookback period in the governing agreement. Nothing limits liability that cannot legally be limited.

8. Changes and governing terms

We may update these terms by posting a revised version or providing notice where required. Continued use after the effective date means the updated terms apply. Unless a signed order form states otherwise, these terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules, and disputes will be submitted to courts with jurisdiction in Nigeria. Customers using the service in another African jurisdiction remain responsible for local mandatory requirements; an order form may identify a different venue or country-specific terms where required.
